These Terms of Service ("Terms") are a legal agreement between ArmoFlow Ltd, a company registered in England and Wales under company number 17081481, registered office at 167-169 Great Portland Street, London, England, W1W 5PF ("ArmoFlow," "we," "us"), and the person applying to or participating in The Crest Guild ("you," "Member" once accepted, "Applicant" before acceptance) (together, the "Service").
By submitting an application or otherwise using the Service, you agree to these Terms. These Terms are the separate terms for The Crest Guild referenced in ArmoFlow's main Terms of Service (Section 1: "Additional ArmoFlow products ... are subject to these Terms unless accompanied by separate terms at launch") — this document is that separate agreement.
1. The Service
The Crest Guild is an application-based progression programme for ski instructors, operated by ArmoFlow Ltd, designed to help instructors move from working exclusively through a ski school to operating independently as a professional. The Service includes:
- a self-assessment positioning quiz;
- an application process ("candidatura") for admission to the Guild;
- a five-stage rank progression system (In Scuola, Base Camp, Fondamenta, Cordata, Vetta), with objective criteria for the first ranks and peer/mentor validation for the final rank;
- mentorship, once admitted, provided by Guild mentors.
The Service may change over time, including the specific ranks, criteria, and features offered.
2. Eligibility and application
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You must provide accurate, current information in your application.
- Submitting an application does not guarantee admission. We evaluate applications and aim to respond within 48 business hours, as described on thecrestguild.com, indicating the most suitable rank and entry path or declining the application.
- We may decline applications at our discretion, including where we do not believe the Service is currently a good fit for the applicant.
3. Fees
- Some stages of the programme may involve a fee. [DA CONFERMARE: a quale rango/tappa si applica il costo, importo, se è una tantum o ricorrente]
- Where a fee applies, current pricing will be displayed at the relevant point of the application or acceptance process.
- Payments, where applicable, are processed by [DA CONFERMARE: processore di pagamento — presumibilmente Stripe, coerente col resto di ArmoFlow, da confermare].
- Fees are exclusive of applicable taxes unless stated otherwise.
- Refunds: except as required by applicable law (including UK consumer protection law) or as otherwise stated at the point of payment, fees are non-refundable.
- We may change pricing for future applicants at any time, with at least 30 days' notice before any change applies to fees already agreed with existing Members (mirrors ArmoFlow's standard notice period).
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Provide false or misleading information in your application or when demonstrating you meet the criteria for a given rank — the rank system relies on honest self-reporting for the earlier ranks and mentor verification for the final rank; misrepresenting your situation undermines the Service for other Members;
- Attempt to reverse-engineer, decompile, or gain unauthorised access to the Service or underlying infrastructure;
- Introduce malware, or interfere with the security or proper functioning of the Service;
- Resell, sublicense, or represent yourself as authorised to grant access to the Service to third parties without our prior written consent.
We may suspend or terminate a Member's participation for violating this section, with notice where reasonably practicable.
5. No guarantee of outcomes
The Crest Guild provides a structured programme, checklists, and mentorship to support your transition toward independent work. We do not guarantee any specific business outcome, including client acquisition, revenue, or the granting of any particular rank. Advancement through the ranks depends on you meeting the relevant criteria and, for the final rank, mentor validation.
6. Intellectual property
- ArmoFlow and its licensors own all rights, title, and interest in the Service, including its software, design, branding ("ArmoFlow," "The Crest Guild," and associated logos), rank system, and content. Nothing in these Terms transfers ownership of any such rights to you.
- We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your personal professional development, subject to these Terms.
- You retain ownership of any content you submit to us (e.g. application details, messages). You grant us a licence to use, store, and process this content solely to provide the Service.
7. Data protection
Our processing of personal data in connection with the Service is governed by our Privacy Policy, specific to The Crest Guild — see thecrestguild.com/privacy.html.
8. Service availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance that temporarily affects availability. Support is available at hello@armoflow.com.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, timely, secure, or error-free.
10. Limitation of liability
To the maximum extent permitted by law:
- Neither party excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
- Subject to the above, our total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim, or £100 if no fees have been paid — mirrors ArmoFlow's standard liability cap.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or business opportunity.
11. Indemnification
You agree to indemnify and hold harmless ArmoFlow, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or misrepresentation in your application.
12. Term and termination
- Your participation begins upon acceptance into the Guild and continues while you remain an active Member.
- You may withdraw from the programme at any time by notifying us at hello@armoflow.com.
- We may suspend or terminate your participation, with reasonable notice, if you materially breach these Terms and fail to remedy the breach within 14 days of notice, or immediately in cases of serious breach, illegal use, or risk to the security of the Service or other Members.
- Provisions that by their nature should survive termination (including Sections 5, 6, 7, 9, 10, 11, and 14) will survive.
13. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or website notice before the changes take effect for existing Members.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that consumers resident in the EU/EEA may also be entitled to bring proceedings in their country of residence under applicable consumer protection law.
15. General
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy (both specific to The Crest Guild), constitute the entire agreement between you and ArmoFlow regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver: Our failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
